1. Definitions

• •"Content" means all text, graphics, images, photographs, videos, illustrations, trademarks, logos, data, property listings, and other materials uploaded, downloaded, or appearing on the Platform.
• •"Listed Property" means any real property, including land, residential units, commercial spaces, and developments, advertised on the Platform.
• •"Listing Agent" means any person or entity, including real estate agents, developers, property owners, or representatives, who posts property listings on the Platform.
• •"Property Seeker" means any person who browses, searches, or inquires about properties listed on the Platform.

2. Eligibility

• •By using the Platform, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under the laws of Ghana.
• •If you are using the Platform on behalf of a legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
• •The Company reserves the right to refuse access to the Platform to any person or entity at its sole discretion.

3. Account Registration and Security

• •To access certain features of the Platform, you must create an account by providing accurate, current, and complete information as prompted by the registration form.
• •You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• •You agree to immediately notify GeoZora of any unauthorized use of your account or any other breach of security.

4. GeoZora's Role and Disclaimers

USERS ARE STRONGLY ADVISED TO CONDUCT THEIR OWN DUE DILIGENCE, INCLUDING BUT NOT LIMITED TO, VERIFYING LAND TITLE AT THE LANDS COMMISSION, CONDUCTING PHYSICAL INSPECTIONS, AND ENGAGING QUALIFIED LEGAL PROFESSIONALS BEFORE ENTERING INTO ANY PROPERTY TRANSACTION.

5. User Obligations and Conduct

You agree to use the Platform in compliance with all applicable laws of the Republic of Ghana, including but not limited to:

• •The Electronic Transactions Act, 2008 (Act 772)
• •The Data Protection Act, 2012 (Act 843)
• •The Cyber Security Act, 2020 (Act 1038)
• •The Land Act, 2020 (Act 1036)

Prohibited conduct includes, but is not limited to:

• •Posting false, misleading, or fraudulent property listings
• •Listing property without proper authority, ownership, or legal mandate
• •Infringing upon any intellectual property rights
• •Using the Platform to engage in "land guarding" activities or any illegal land transactions prohibited under the Land Act, 2020

7. Intellectual Property Rights

• •The Platform, including its design, layout, logos, trademarks, software, and all Content (excluding User Content), is the exclusive property of GeoZora and is protected by the Copyright Act, 2005 (Act 690) and other applicable intellectual property laws of Ghana.
• •By posting Content on the Platform, Listing Agents grant GeoZora a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, display, and publish such Content in connection with the Platform's operation.

8. Dispute Resolution

• •Negotiation: In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiations.
• •Alternative Dispute Resolution: If the dispute is not resolved within thirty (30) days, the parties shall submit the dispute to the Ghana Arbitration Centre or a mutually agreed-upon mediator in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).
• •Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
